A renewable energy project can appear financially attractive on paper while carrying risks that are easy to miss before an acquisition, refinancing, investment or financial close. A long-term Power Purchase Agreement (PPA), planning approval and grid connection may create confidence, but they do not automatically confirm that the project will generate the revenue, production or returns shown in its financial model. A delayed Commercial Operation Date (COD), weak offtaker, grid congestion, underestimated OPEX, uncertain land rights or an optimistic electricity price forecast can materially reduce project value. Renewable energy due diligence tests the evidence behind the investment case before capital is committed. A strong commercial review connects contracts, market conditions, development rights, construction obligations, operating performance and financial assumptions so investors can see the actual risks and their potential effect on cash flow and valuation.


What Does Commercial Due Diligence Check in a Renewable Energy Project?


Commercial due diligence examines whether a renewable energy project's investment case is supported by reliable evidence. It focuses on the factors that determine revenue, expenditure, timing, cash flow, financing and valuation. The review may use information from technical, legal, environmental and financial advisers, but its purpose is to connect those findings to the commercial performance of the project.


For an investor, the central question is whether the project can deliver the financial outcome presented by the developer or seller. That means checking whether the revenue forecast matches the PPA and market assumptions, whether the grid connection supports the expected export profile, whether land and planning rights remain valid, whether construction obligations are properly allocated, whether O&M costs and performance assumptions are realistic, and whether the financial model accurately reflects the underlying contracts.


Commercial, Technical and Legal Due Diligence: What Is the Difference?


Commercial due diligence, technical due diligence and legal due diligence address different questions, although their findings often affect one another. Technical due diligence considers whether the plant, equipment, design and expected energy yield are suitable for the project. Legal due diligence examines ownership, contracts, permissions, obligations and legal rights. Commercial due diligence asks whether these factors support the project's revenue, costs, timing, financing and overall investment case.


For example, a technical assessment may identify that expected production is lower than the developer's original forecast. The commercial assessment then needs to determine how that production reduction affects electricity revenue, EBITDA, debt service and valuation. Similarly, a legal review may identify that a land lease expires earlier than expected. The commercial review needs to establish whether renewal is required, what it could cost and whether the financial model includes that exposure.


The Seven-Point Commercial Due Diligence Checklist


The seven areas below provide a practical framework for reviewing a renewable energy investment. They should be assessed together because a problem in one area can create consequences elsewhere. A construction delay, for example, can postpone COD, reduce first-year revenue and increase financing costs at the same time.


1. Verify the Revenue Model and Power Purchase Agreement


The first question should be how the project earns its revenue and how secure that revenue actually is. The Power Purchase Agreement is often one of the most important commercial documents because it defines the relationship between the project and its energy buyer. However, simply having a long-term PPA does not mean that all projected revenue is secure. The pricing structure, contracted volumes, buyer creditworthiness, curtailment treatment, performance obligations and termination provisions can all change the value of the agreement.


Review the PPA Pricing Structure


The PPA should be compared directly with the financial model. Review whether the project receives a fixed rate, floating market price or a hybrid arrangement with a floor or other protection. Check the escalation mechanism, indexation, settlement provisions and duration of the agreement.


The review should establish whether the model uses the actual contractual price and escalation terms or whether it assumes a higher revenue level. Where part of the project's income is exposed to future electricity prices, that merchant exposure needs separate analysis rather than being treated as contracted revenue.


Assess the Energy Buyer and Counterparty Credit


The financial strength of the energy buyer matters because a contracted payment is only useful if the counterparty can meet its obligations. The review should consider the buyer's credit position, payment history and available security. Where the contracting entity is a subsidiary, the existence and strength of a parent guarantee should also be examined. The PPA should also be checked for default provisions, payment security, termination rights and assignment restrictions. A buyer with weak credit support can introduce revenue risk even where the headline PPA price looks attractive.


Check Volume Commitments and Performance Obligations


The PPA may contain minimum volume commitments, take-or-pay rules, underperformance penalties or other obligations that affect the project's actual revenue. These terms need to be understood alongside the expected production profile.

If the financial model assumes that the project can sell all forecast electricity at the contracted rate but the PPA covers only part of the expected output, the remaining volume may carry merchant market exposure. That difference can have a significant effect on the project's revenue certainty.


Review COD and Delay Provisions


Commercial Operation Date is particularly important for projects under development. A delay can mean that the project does not receive revenue when expected, while construction and financing costs continue.


The PPA should therefore be reviewed for COD requirements, extensions, delay consequences and termination rights. These provisions should be reconciled with the construction schedule and financial model so that the investment case reflects the actual contractual position.


2. Quantify Market, Grid and Curtailment Exposure


A renewable energy project may have an approved grid connection but still face restrictions on how much electricity it can export. Commercial due diligence should therefore assess the project's connection rights, network conditions and exposure to curtailment and congestion.


This issue is particularly relevant in Ireland as the electricity system accommodates increasing levels of renewable generation. Review the Interconnection Agreement


The interconnection agreement should be examined alongside the project's generation forecast. Review the agreed capacity, point of connection, network operator obligations, connection milestones, grid reinforcement requirements and any network upgrade costs. The commercial question is not simply whether a connection exists. The more useful question is whether the connection arrangement supports the export profile used in the financial model.


Assess Curtailment and Grid Congestion


Curtailment occurs when a project is unable to export electricity that it could otherwise generate. Grid congestion and network constraints can therefore reduce actual energy sales even where the plant itself is technically capable of producing the forecast output.

Historical operating data should be reviewed for operational projects, while development-stage projects require appropriate grid studies and market analysis. The assessment should consider expected curtailment levels, dispatch restrictions, forced outages and the financial treatment of lost generation.


Where the PPA or other commercial arrangements provide compensation for certain forms of curtailment, those provisions should be included in the financial assessment. Where the project carries the cost, the downside case should reflect that exposure.


Review Market Revenue Beyond the PPA


Projects with merchant exposure may earn revenue through electricity market prices, ancillary services, capacity markets or grid balancing services. These income streams should be supported by realistic assumptions rather than simply added to the base case because they improve projected returns. Basis risk should also be considered where the project's realised electricity price differs from the trading hub or reference price used in the model. A small price difference can become significant over a long operating period.


3. Confirm Land Rights, Planning and Development Permissions


A renewable energy asset needs secure rights over the land and infrastructure required to build, connect, operate and maintain it. A project can have strong revenue potential but still face a serious commercial problem if its land lease, access easement or planning permission does not support the project for the period assumed in the financial model.


Review Land Ownership and Lease Terms


The review should establish whether the project land is held under freehold ownership or lease arrangements and whether the rights cover the full operational period. Lease duration, renewal options, rent increases, termination provisions and assignment rights can all affect project value. Land arrangements should also be checked against the actual project footprint. This includes generation equipment, substations, access roads, grid infrastructure and other facilities required for operation.


Verify Access Easements and Infrastructure Rights


Access rights are easy to overlook during a high-level project review. A project may have secure rights over the main generation site but inadequate rights for construction vehicles, maintenance teams, grid infrastructure or replacement equipment.

The review should therefore confirm that access easements, wayleaves and other required rights are in place and transferable where necessary.


Check Planning and Environmental Permissions


Planning permissions, zoning compliance and environmental licences should be reviewed against the actual project being developed. Check the permitted capacity, conditions, expiry dates, extension requirements and outstanding obligations. Environmental requirements may include impact assessments, wildlife protection measures and water-use rights depending on the location and technology. The commercial issue is whether these requirements could affect project timing, capacity, operating costs or future expansion.


Match Project Rights With the Financial Model


The project documentation should support the assumptions used in the model. If the financial model assumes a particular operating life but the relevant land rights expire earlier, the model needs to reflect the uncertainty and potential renewal cost. The same principle applies to planning permissions and other approvals. A permission that is technically valid but subject to unresolved conditions may still create a timing or cost risk that needs to be considered in the investment case.


4. Test EPC and Construction Contract Protection


Construction risk can materially affect a renewable energy project's returns. A higher-than-expected CAPEX requirement reduces available equity returns, while a delayed COD can reduce revenue and increase financing costs. Commercial due diligence should therefore examine whether the EPC contract provides meaningful protection against these risks.


Review the EPC Contract


The Engineering, Procurement and Construction contract should be checked for price certainty, scope, completion dates, payment milestones, performance requirements and change-order provisions. A fixed-price EPC contract can provide greater cost certainty, but the wording still matters. Exclusions, variation mechanisms, owner-supplied equipment and unresolved scope items can create additional costs outside the headline contract value.


Examine Contractor Guarantees and Security


Contractor guarantees, performance bonds, letters of credit and sponsor guarantees can provide protection if a contractor fails to meet its obligations. The review should establish who provides the security, how long it remains valid and under what circumstances it can be called. The financial strength of the guarantor also matters. A contractual guarantee has limited practical value if the party providing it cannot meet the obligation.


Assess Delay and Performance Protection


Delay Liquidated Damages can help protect against financial losses caused by late completion, while performance guarantees can provide protection if the completed plant fails to meet agreed requirements. The commercial review should assess whether these protections reasonably correspond to the project's potential losses. If a six-month delay could cause significant lost revenue and additional financing costs, the contractual protection should be considered against that exposure.


Reconcile Construction Costs With the Financial Model


The EPC contract should be reconciled with the project's CAPEX budget. This should identify owner costs, grid costs, development expenditure, financing costs, contingency and any equipment or works outside the EPC scope.


A model can appear fully funded while still excluding material costs hidden in contract exclusions or separate project agreements. Finding these gaps before acquisition can prevent a buyer from inheriting an unexpected capital requirement.


5. Assess O&M, Equipment Warranties and Long-Term Performance


The commercial value of an operating renewable energy asset depends heavily on its ability to produce electricity consistently and control operating costs. For a development project, the focus is on whether the proposed O&M arrangements and equipment assumptions provide a credible basis for future performance.


Review the O&M Contract


The O&M contract should be assessed for its scope, pricing, response times, availability commitments and performance obligations. It should be clear which maintenance activities are included and which can generate additional charges. Contract duration and renewal provisions also matter. A short arrangement with limited protection may create future cost uncertainty, while a longer contract may provide greater visibility over operating expenditure if its pricing and service obligations are appropriate.


Check Equipment Warranties


Equipment warranties should be reviewed for duration, coverage, exclusions, transferability and defect procedures. Component defect terms should be compared with the expected plant lifespan because a major equipment failure after warranty expiry can create a significant replacement cost. For solar projects, this may include module degradation and inverter replacement assumptions. For wind projects, major turbine components and long-term maintenance requirements may have a substantial effect on future OPEX and availability.


Review the O&M Provider


The O&M provider's track record and ability to respond to equipment problems should also be considered. Local technician availability, spare-parts access and response times can affect how long equipment remains unavailable after a fault. This is particularly important for assets where a relatively small number of major components can have a large effect on total plant availability.


Compare Actual Performance With Forecasts


Operating projects provide an opportunity to compare actual generation against the original energy-yield assessment. Review historical production, availability, forced outages, maintenance expenditure, degradation, curtailment and warranty claims. The review should focus on trends rather than a single reporting period. Consistent underperformance can indicate that the original forecast was too optimistic or that operational problems are reducing output.


6. Reconcile and Stress-Test the Financial Model


The financial model converts technical, commercial and contractual assumptions into projected revenue, costs, debt service and investor returns. For that reason, it should be tested against the underlying project documentation rather than accepted as an independent source of truth.


Reconcile Model Assumptions With Source Documents


The PPA price should match the model. The generation forecast should match the relevant energy assessment. EPC costs should match contractual commitments. O&M costs should reflect the actual service agreement. Grid costs should be supported by connection documentation. Review the Main Financial Assumptions


The assessment should cover electricity price curves, production levels, CAPEX, OPEX, inflation rates, discount rates and interest rates. Financing assumptions should also be checked, including debt-to-equity ratios, repayment schedules, loan terms and applicable covenants. The financial model should reflect realistic degradation and replacement requirements. It should also account for regulatory changes, subsidy expiry and other known events that could affect future cash flow.


Verify Feed-in Tariffs, Tax Credits and Green Certificates


Where a project depends on government support or other renewable energy incentives, confirm its eligibility and remaining support period. Feed-in tariffs, tax credits and green certificates can materially affect revenue and returns, so the model should use the actual qualifying terms rather than assuming that support continues indefinitely. The review should also check relevant compliance conditions, application deadlines and potential tax obligations.


Test P50, P90 and Downside Production


Production assumptions should be tested using the relevant energy-yield assessment. P50 and P90 scenarios can provide different views of expected production risk and can be particularly important for debt sizing. A downside case should also consider higher curtailment, lower availability or production below the base forecast. The purpose is to see whether the project remains capable of meeting its financial obligations under less favourable operating conditions.


Run Focused Sensitivity Analysis


Sensitivity analysis should focus on variables capable of materially changing the investment case. Electricity prices, production, CAPEX, OPEX, interest rates, curtailment and COD are often useful variables to test. The objective is to identify which assumptions have the greatest influence on project value, rather than producing a large number of scenarios that do not change the investment decision.


7. Convert Due Diligence Findings Into Valuation and Deal Terms


The final stage of commercial due diligence is to determine what the findings mean for the transaction. A report that identifies risks without quantifying their financial effect leaves the investor to repeat the analysis.


Each material finding should therefore be connected to its likely financial consequence. If production is expected to be lower than the original forecast, the revised energy yield should feed into revenue and cash flow. If CAPEX is higher, the additional funding requirement should be incorporated. If COD is delayed, lost revenue and additional financing costs should be considered.


Quantify the Impact on Project Value


The assessment should connect each material issue with the appropriate financial metric. Depending on the project, this may include NPV, IRR, EBITDA, free cash flow, debt capacity or DSCR.


For example, a reduction in annual production affects revenue and potentially EBITDA. Lower cash flow may reduce debt capacity, while the combined effect can reduce the amount an investor is prepared to pay for the asset.


Determine Who Should Carry the Risk


Once a risk has been quantified, the transaction should establish who is responsible for addressing it. Some risks can be resolved before completion, while others may require warranties, indemnities, escrow arrangements, price adjustments or specific conditions precedent.


The important point is that the buyer should not automatically inherit every unresolved issue simply because the transaction reaches completion.


Distinguish Material Risks From Deal-Breakers


A missing document, minor maintenance issue or manageable contract amendment should not receive the same treatment as a fundamental revenue or ownership problem.

The final due-diligence assessment should distinguish between issues that can be corrected, risks that justify a price adjustment and issues serious enough to affect whether the transaction should proceed.

For an operating asset, persistent underperformance against the original energy-yield forecast deserves investigation. The cause could be degradation, equipment failure, availability problems, grid restrictions, resource assumptions or other losses.


The Financial Model Depends on Aggressive Assumptions


A project that produces attractive returns only under high electricity prices, high production and low operating costs may have limited downside protection.
